2. PURPOSE AND SCOPE

These Terms of Use govern access to, registration with and use of the XALVEN website and application (hereinafter, "the Service"), as well as the purchase of the available access plans.

The Service allows users to search for information about companies and businesses by postcode, nationally and internationally, through integration with third-party data sources and map display via Leaflet + OpenStreetMap.

Accessing the Service implies full acceptance of these Terms. If you do not accept them, do not use the Service.

3. USER ACCOUNT

• The user warrants that the information provided during registration is truthful, current and complete.
• The user is responsible for keeping their access credentials confidential.
• Sharing credentials with unauthorised third parties is prohibited (except under the Business Plan, where ownership and access management belong to the account holder).
• XALVEN may suspend or cancel accounts in the event of breach of these Terms, abusive use or fraudulent activity.

4. PERMITTED USE AND PROHIBITED CONDUCT

The Service is provided exclusively for lawful use in line with its purpose. The following is expressly prohibited:

• Unlawful or fraudulent use, or use contrary to applicable law.
• Reverse engineering, decompilation or unauthorised extraction of the Service's code or data.
• Scraping, data harvesting or unauthorised mass automated access.
• Security attacks, denial of service (DoS/DDoS), code injection or any technical interference.
• Spam, mass sending of unsolicited communications, impersonation.
• Introducing malware, viruses or other malicious software.
• Infringing third-party rights (intellectual property, privacy, reputation).

XALVEN may apply technical usage limits (rate limiting) to protect the integrity and availability of the system for all users.

5. PLANS, PAYMENTS AND BILLING

The Service offers the following access plans:

• Prices are clearly displayed before the payment is completed.
• Payment is processed through Stripe (or another payment provider indicated at checkout). XALVEN does not store full credit card details.
• Displayed prices include or exclude taxes (VAT or others) according to the rules applicable to the location of the user or company.

5.3 Subscriptions

• Paid plans are monthly subscriptions that renew automatically at the start of each period.
• The user may cancel at any time from the Settings section of their account.
• Cancellation stops automatic renewal; access to the contracted plan is retained until the end of the period already paid for.
• XALVEN does not pro-rate or refund partial periods except where there is an error attributable to XALVEN or as provided in the Refund Policy.

6. INTELLECTUAL PROPERTY

The application, the XALVEN brand, the design, the logos, the code and its own content belong to XALVEN or its licensors and are protected by intellectual and industrial property law.

The user obtains a limited, personal, non-exclusive and revocable licence to use the Service in accordance with these Terms. Any reproduction, distribution or commercial exploitation of the content without express authorisation is prohibited.

Cartographic data comes from OpenStreetMap under the ODbL licence. Business data comes from third-party providers with their own terms of use.

7. AVAILABILITY AND SUPPORT

• XALVEN will make reasonable efforts to keep the Service continuously available, but does not guarantee uninterrupted availability.
• The Service may suffer planned interruptions (maintenance) or unplanned ones (technical causes, third parties). XALVEN will attempt to restore the service with reasonable diligence.
• Technical support is provided through support@xalven.app.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, XALVEN accepts no liability for:

• Indirect, consequential or incidental damages or loss of profit arising from the use of, or inability to use, the Service.
• Loss of data for reasons not attributable to XALVEN.
• Inaccuracies in company data provided by third-party sources.
• Interruptions or failures of the service caused by third parties (infrastructure providers, data APIs, etc.).

This limitation does not apply in cases of wilful misconduct, gross negligence, or in situations where liability cannot be limited by law (in particular in relations with consumers).

9. MODIFICATION AND CANCELLATION

• By the user: You may stop using the Service at any time. Account deletion can be requested from Settings > Delete account.
• By XALVEN: We may modify, suspend or cancel the Service with reasonable notice. In the event of material modifications, at least 30 days' notice will be given.
• For breach: XALVEN may suspend or cancel accounts that breach these Terms, with no obligation to refund where the breach is attributable to the user.

10. AMENDMENT OF THE TERMS

XALVEN may update these Terms. The version in force will always be available at xalven.app/en/legal/terms. If the changes are material, notice will be given in the app at least 30 days in advance. Continued use of the Service after that period implies acceptance of the new Terms.

11. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Wyoming (United States), without regard to its conflict-of-law rules.

• For consumers resident in the European Union or the European Economic Area: this clause does not deprive them of the protection afforded by the mandatory provisions of the law of their country of habitual residence. They retain the mandatory rights granted by the applicable consumer legislation (including the right of withdrawal under Directive 2011/83/EU and its transposition) and the possibility of bringing proceedings before the courts of their domicile.
• For companies and professionals: the parties submit to the jurisdiction of the competent state and federal courts of Sheridan County, State of Wyoming (United States), waiving any other jurisdiction.
